汎欧州事業体、「欧州会社(SE)」の実現

欧州の複数の国で操業している大手企業は、たとえばオランダのNV(naamloze vennootschap=有限責任株式公開会社)やBV(besloten vennootschap=有限責任株式非公開会社)のような各国の国内法の下での会社設立に代わって、欧州法の下での「欧州会社」として設立できるようになることが、2001年10月8日の欧州閣僚理事会において決定された。ラテン語の「Societas Europeae」を略して「SE」(以下SEまたは欧州会社)と呼ばれるこの構想は、30年にわたり懸案となっていたが、いよいよ、あと3年で法の施行にこぎつける見込み。

「欧州会社」とは?

欧州会社法(European Company Statute)とは、欧州法(European Community law)に基づく新しい法律で、企業に「欧州会社」(公式にはラテン語で「Societas Europeae(SE)」と呼ばれる)の設立という新たな選択肢を与えるもの。SEは欧州全域において事業展開することができ、すべての加盟国に直接適用される欧州法に準拠する。欧州会社法は二つの法令(legislation)から構成され、一つは会社法の諸条項を制定する規則(regulation=加盟国に直接適用される)、もう一つは労働者の経営参加に関する指令(directive=各加盟国の国内法として採択されたのち施行される)となる予定。

「欧州会社(SE)」設立の条件

・最低二つのEU加盟国に属する既存の2社以上の株式公開会社間の合併による設立
・最低二つの加盟国に属する、複数の株式公開あるいは非公開会社による持株会社の設立
・最低二つの加盟国に属する複数の会社による合弁子会社の設立
・他の加盟国に過去2年間以上子会社を持っていた株式公開会社のSEへの変更

 

「欧州会社(SE)」の利点は?

欧州会社法が成立すれば、複数の加盟国にある既存企業は合併して、同じ規則と統合化された経営・報告システムの下に、EU全域で事業を展開することができるようになる。これにより、従来のように各国それぞれの国内法に従うために、コストも高く管理にも時間のかかる複雑な子会社ネットワークを設立する必要がなくなり、とくに、経営管理ならびに法務費用の大幅な削減や、法体系の一本化、経営ならびに報告システムの統一といった点が大きなメリットとなる。

「欧州会社(SE)」に生まれ変わることによって、企業は迅速かつ容易に組織再編を行うことができるようになり、域内市場が提供する取引機会を最大限に利用することができる。複数の加盟国で営業権をもつSEは、将来その事業環境が変化した場合は、他の加盟国へ本社を容易に移転することが可能となる。加盟国Aに登記されている企業を加盟国Bへ移す場合、現在は、まず、加盟国Aの会社を清算した上で加盟国Bに新会社を設立・登記しなければならないが、新法では、SEは単純に会社の登記上の本社を移転するだけですむことになる。

このSEの設立はあくまでも選択肢の一つであり、かならずしも「欧州会社(SE)」にする義務はない。SE専用の中央登記所というものは予定されておらず、それぞれのSEは、各国法の下で設立された企業と同じ登記所で登記を行なう。ただし、各SEの登記はEUの官報で公表され、SEは、その経営本部が所在する加盟国で登記されなければならない。これは、脱税やマネー・ロンダリングといった不正行為の手段としてSEが悪用されることを防ぐために、全SEを効果的に監督管理する唯一のシステムである。

「欧州会社(SE)」の課税国は?

会社あるいは支店に適用される各国の税法に従い、SEは税務上他のすべての多国籍企業と同様に取り扱われる予定。合併により設立したSEの登記は1加盟国で行うが、複数の加盟国にある支店を通じて営業することは税務上有利になるはずである。もし本社所在地の加盟国が当該SEの全世界の事業所得に課税する場合、本社所在地の加盟国において、ある恒久的施設の損失を他の恒久的施設の利益と相殺することが可能となる。実際、親会社がSEではなく、法的に独立した子会社を通じて営業する独立企業である場合は、このような取扱いの可能性は低くなる。しかしながら、SEは、恒久的施設が存在する各加盟国ではこれまでと同様に納税義務がある。

「欧州会社(SE)」への労働者の経営参加に関する規定は?

労働者の経営参加に関するEUの指令に基づき、「欧州会社(SE)」を設立する経営者は社内のすべての労働者を代表する組織と、労働者の経営参加について協議しなければならない。もし相互に満足できる取り決めに至らなかった場合は、EU指令に添付されている標準原則(standard principles)に準拠することになる。基本的にこの原則によれば、SEの経営陣は、労働者を代表する組織に対して定期的報告を行い、その上で定期的協議ならびに情報提供を行わなければならない。これら報告書では、当該企業の現在および将来の事業計画、生産および販売状況、これら事業状態の労働者への影響、経営陣の異動、合併、資本の売却、閉鎖ならびにレイオフの可能性について詳しく説明しなければならない。

経営陣と労働者代表とが相互に満足しうる取り決めに達することができなかった場合、SEを設立しようとする企業がそれまでに経営参加ルールを適用していれば、標準原則によりSEもまたその労働者の経営参加を受け入れなくてはならない。これは、SEが持株会社あるいは合弁会社として設立され、労働者の過半数がSEの設立以前に旧会社の意思決定に参加する権利を持っていた場合に該当する。

合併によって設立されたSEの場合、労働者の経営参加に関する標準原則は、合併前に労働者の最低25%がその権利を持っていた場合にはじめて適用される。このEU指令が2000年12月のニース・サミット(ニース欧州理事会)まで合意に達しえなかったのは、まさにこの点が問題だったからである。各国首脳がようやく合意にこぎつけた妥協点は、合併によって設立されたSEに関しては加盟国が労働者の経営参加に関する指令に従わないとしてもよいが、SEがその加盟国において登記することができるのは、そのSE設立前にその旨労使協定が結ばれていたか、または経営参加ルールが適用された労働者がいなかったときに限る、というものである。

国内法で設立された企業をSEに切り替える場合、切り替え以前に労働者の経営参加に関する取り決めが存在すれば、その取り決めはそのまま継続されなければならない。

「欧州会社(SE)」の株式上場の必要性は?

上場する必要はない。非公開企業も中規模企業もSEになることはできる。SEの株が上場された場合、その株は各国内法で設立された企業の上場株と同様に扱われなければならない。

最低資本金は12万ユーロと決定されたが、これはさまざまな加盟国の中規模企業がSEを設立できるよう配慮した結果である。

「欧州会社法」には雇用契約ならびに企業年金に関する条項は含まれるか?

これらの条項は含まれていない。雇用契約と年金はEU規則の対象となっていないので、これらは企業の本社・支店が所在する加盟国の法律に従うことになる。

1) OBJECTIVE

To create a European company with its own legislative framework. This will allow companies incorporated in different Member States to merge or form a holding company or joint subsidiary, while avoiding the legal and practical constraints arising from the existence of fifteen different legal systems. To arrange for the involvement of employees in the European company and recognise their place and role in the company.

Background
The European Company (known by the Latin term
"Societas Europaea" or SE) is now a reality some 30 years after the initial proposal. The new legislation should enter into force in 2004. Agreement on the SE is one of the priorities identified by the FSAP.

Formation
The Statute provides four ways of forming a European limited company: merger, formation of a holding company, formation of a joint subsidiary, or conversion of a public limited company previously formed under national law. Formation by merger is available only to public limited companies from different Member States. Formation of an SE holding company is available to public and private limited companies with their registered offices in different Member States or having subsidiaries or branches in Member States other than that of their registered office. Formation of a joint subsidiary is available under the same circumstances to any legal entities governed by public or private law.

Minimum capital
The SE must have a minimum capital of 120 000 euros. Where a Member State requires a larger capital for companies exercising certain types of activity, the same requirement will also apply to an SE with its registered office in that Member State.

Registered office
The registered office of the SE designated in the statutes must be the place where it has its central administration, that is to say its true centre of operations. The SE can easily transfer its registered office within the Community - as is the case at present - without dissolving the company in one Member State in order to form a new one in another Member State.

Laws applicable
The order of precedence of the laws applicable to the SE is clarified.

Registration and liquidation
The registration and completion of the liquidation of an SE must be disclosed for information purposes in the Official Journal of the European Communities. Every SE must be registered in the State where it has its registered office, in a register designated by the law of that State.

Statutes
The Statutes of the SE must provide as governing bodies the general meeting of shareholders and either a management board and a supervisory board (two-tier system) or an administrative board (single-tier system).
Under the two-tier system the SE is managed by a management board. The member or members of the management board have the power to represent the company in dealings with third parties and in legal proceedings. They are appointed and removed by the supervisory board. No person may be a member of both the management board and the supervisory board of the same company at the same time. But the supervisory board may appoint one of its members to exercise the functions of a member of the management board in the event of absence through holidays. During such a period the function of the person concerned as a member of the supervisory board shall be suspended.
Under the single-tier system, the SE is managed by an administrative board. The member or members of the administrative board have the power to represent the company in dealings with third parties and in legal proceedings. Under the single-tier system the administrative board may delegate the power of management to one or more of its members.

The following operations require the authorisation of the supervisory board or the deliberation of the administrative board:

Annual accounts
The SE must draw up annual accounts comprising the balance sheet, the profit and loss account and the notes to the accounts, and an annual report giving a fair view of the company's business and of its position; consolidated accounts may also be required.

Taxation
In tax matters, the SE is treated the same as any other multinational, i.e. it is subject to the tax regime of the national legislation applicable to the company and its subsidiaries. SEs are subject to taxes and charges in all Member States where their administrative centres are situated. Thus their tax status is not perfect as there is still no adequate harmonisation at European level.

Winding-up
Winding-up, liquidation, insolvency and suspension of payments are in large measure to be governed by national law. An SE which transfers its registered office outside the Community must be wound up on application by any person concerned or any competent authority.

Definition
Definition of employee participation: it does not mean participation in day-to-day decisions, which are a matter for the management, but participation in the supervision and strategic development of the company.

Participation

Employment contracts and pensions
Employment contracts and pensions are not covered by the Directive. With regard to occupational pension schemes, the SE is covered by the provisions laid down in the proposal for a directive on institutions for occupational schemes, presented by the Commission in October 2000, in particular in connection with the possibility of introducing a single pension scheme for all their employees in the European Union.
