タイでマスターバッチ新会社設立

 JSR(社長:松本栄一)及びそのグループ会社であるエラストミックス(社長:高橋昌三)は、炭酸カルシウムをはじめとした化学薬品の大手専門商社である白石カルシウム(社長:白石恒裕)、日本でのカーボンブラックのトップメーカーである東海カーボン(取締役社長:大嶽史記夫)と合弁で、タイでマスターバッチの製造・販売を行う新会社を3月6日に設立しました。 新会社名は、ELASTOMIX(THAILAND)CO.,LTD.です。(日本語表記はエラストミックス・タイランド)

 タイ経済は1997年の経済危機を乗り越え、着実に回復しつつあります。自動車産業においても、日系メーカーをはじめ、欧米各社が相次いで進出し、タイはアセアン地域の重要な拠点としてその地位を確立しつつあり、自動車のゴム部品用途に多く使用されるマスターバッチの需要も、今後コンスタントに拡大してゆくものと予想されます。

 JSRグループのタイにおけるマスターバッチ事業の展開は、日系を主体とするゴム製品メーカー向け納入を念頭に、1995年にPIインダストリー社への資本参加によって始まり、その後の厳しい経済環境を克服して現在フル稼働となっております。このような中4社は、今後の需要増に応えるとともに、より高度の品質管理とお客様に満足して頂けるサービスの充実を目指して、新たに100%日本資本によるマスターバッチ会社を設立しました。特に、マスターバッチ事業では35年の歴史を持つエラストミックスが経営主体となり、過去において培った技術を供与し、また経営ノウハウも新会社の運営に生かしていきます。

 なお、JSRグループは、海外に於いてアジアでは
台湾(国成工業)、タイ(PIインダストリー)、中国天津(天津国成ゴム工業)、またアメリカ(EMIX−USA)でもマスターバッチ事業を展開してきました。今般のタイにおける新会社設立でカーボンマスターバッチのグローバル供給体制は、さらに強化されることになります。

 クレイトンポリマービジネスは3月2日付けでシェルからの完全独立を果たし、新資本におけるスタートを切った。米国に拠点を置く投資会社リップルウッド・ホールディングスLLCはニューヨークにおいてエチレン・ブロック・コポリマー(SBC)の生産及び供給において世界第一位の事業をロイヤル・ダッチ・シェルグループより購入する契約を結んだ。
 新しいクレイトンポリマービジネスにおいてはリップルウッド・ホールディングスの関連会社グリニッチ・ケミカル・パートナーズのマネージング・ディレクターであるジョン・ジョージスがチェアマンを努め、クレイトン前バイス・プレジデントのスティーブ・ウッドがチーフ・エグゼキュティブ・オフィサー(CEO)に就任する。
 クレイトンポリマーはブラジル、フランス、ドイツ、日本,オランダ及びアメリカの6カ国に製造拠点を持ち、日本ではJSR鰍ニの合弁会社「ジェイエスアール クレイトンエラストマー梶v(50%合弁)で生産。また、各地域に充実した研究施設をそなえ120以上の国々にまたがる国際的な販売・営業活動及び販売特約店ネットワークを持つ。

The KRATONPolymers Business celebrates its independence from Shell today as it embarks on a future under new ownership. US-based private investment firm Ripplewood Holdings LLC, successfully concluded its deal to purchase the world's leading manufacturer and supplier of styrenic block copolymers (SBC) from the Royal Dutch/Shell Group of Companies in New York on 28 February 2001.

John Georges, managing director of Greenwich Chemical Partners and an affiliate of Ripplewood Holdings, is chairman of the new KRATONPolymers Business, with former vice-president, Steve Wood, taking the chief executive officer position.

Texas Pacific to Buy Kraton Polymers

Private investment company Texas Pacific Group (TPG; Fort Worth, TX) says it has agreed to acquire Kraton Polymers Group from Ripplewood Holdings (New York), also a private investment firm, for $770 million. Kraton has sales totaling $600 million/year and is due to complete a 35% capacity expansion at Berre, France in the fourth quarter for its Kraton-D line of styrene-butadiene-styrene, and styrene-isoprene-styrene copolymers. It is also boosting capacity for Kraton-G, its hydrogenated line of styrene-ethylene- butylene-styrene and styrene-ethylene-propylene-styrene products at Berre and at Belpre, OH. The Kraton-G expansions are due for completion during fourth-quarter 2004. The expansions will raise Kraton's total capacity, currently 360,000 m.t.-370,000 m.t./year, by 20%, the company says. Its closest competitors are ENI's Polimeri Europa unit, with 150,000 m.t./year; and Dynasol (Madrid), a joint venture between Repsol-YPF and Desc, with 120,000 m.t./year, according to Chemical Market Resources (Houston) data. The next largest producers are ExxonMobil-Dow Chemical jv Dexco Polymers, and Chi Mei, followed by a group of smaller players including Atofina, Kumho, and Taiwan Synthetic Rubber. UBS Investment Bank acted as advisor to TPG; Morgan Stanley and Credit Suisse First Boston advised Ripplewood. The deal is expected to close by year-end.

Texas Pacific Group to Acquire KRATON Polymers from Ripplewood Holdings, LLC

Texas Pacific Group ("TPG") and Ripplewood Holdings LLC, both private investment firms, today jointly announced that they have entered into an agreement under which TPG will acquire the KRATON Polymers Group of Companies ("KRATON Polymers" or the "Company"), headquartered in Houston, Texas, from Ripplewood and other investors. The transaction values KRATON at a total enterprise value of $770 million and is expected to close by the end of the year.
KRATON Polymers is a premier, global specialty chemicals company and the world's largest producer of styrenic block copolymers ("SBCs"), a family of products whose chemistry was pioneered by the Company over forty years ago. SBCs enhance the performance of applications including adhesives, sealants, asphalt and bitumen modification, footwear, packaging, compounding and personal hygiene products. The Company has the leading position in all of its core markets and is the only producer of SBCs with global manufacturing capability. The Company has manufacturing facilities in Belpre, OH, The Netherlands, Germany, France, Brazil and Japan. The business has annual revenues in excess of $600 million.

UBS Investment Bank acted as merger advisor to TPG. Morgan Stanley and Credit Suisse First Boston served as financial advisors to Ripplewood.

タイでCMB生産能力拡大

 JSR(株)(社長:吉田淑則)およびJSRグループの(株)エラストミックス(本社・三重県四日市市、社長:荒尾利夫)はタイでのCMB(カーボンマスターバッチ)生産拠点の能力を拡大する計画を決定しました。今年末までに新ラインを増設し、生産能力をほぼ倍増します。主要顧客である日系部品メーカーの進出、増産が相次ぐタイにおいて増強を図り、需要増加に対応していきます。

 タイ・ラヨン県の合弁会社「エラストミックス・タイランド」(社長:片山誠三)でライン増設を行います。同社はタイおよび近隣諸国の部品メーカーにCMBを供給しており、急激に増大しつつある需要に対して昨年夏、それまでの2直体制から3直体制に移行して増産を図ってきましたが、2003年度中に生産能力不足となる見込みです。これに対応して、これまでの設備11号(234L)インテンシブミキサー1系列と、B練り用26インチロールライン1系列に加えて、新たに9号(182L)インテンシブミキサーラインを1系列増設します。2003年12月に商業生産開始予定。この増設により、生産能力は年間10,000トンから
18,000トンと大幅に増加します。

 エラストミックスでは、顧客の海外シフトに対応し、アジアの生産拠点を強化し、グローバルなCMB供給体制の強化を図っていきます。

アジアでCMB生産能力拡大   −天津で生産能力倍増決定−

JSR(株)(社長:吉田淑則)およびJSRグループの(株)エラストミックス(本社・三重県四日市市、社長:荒尾利夫)は中国・天津でのCMB(カーボンマスターバッチ)生産拠点の能力を拡大する計画を決定しました。今年11月には新ラインを増設し、生産能力を倍増します。主要顧客である日系自動車部品メーカーの進出、増産による需要増加に対応していきます。

 中国・天津での合弁会社「天津国成橡膠工業有限公司」(総経理:谷本勉)は中国北部・中部の日系自動車部品メーカーを中心にCMBを供給しています。これまでの設備はA・M練り用に115Lインテンシブミキサーが1系列、2002年1月導入のB練り用110Lニーダー1系列でしたが、同工場敷地内に新たに第2生産工場を建築し、A・M練り用に110Lインテンシブミキサーライン1系列を増設します。2003年11月に完成、商業生産開始予定。この増設により同社の製品生産能力はこれまでの年間4,000トンから、
8,000トンと倍増します。新工場は、原材料計量室および製品検査室を備えるとともに、今後のさらなる需要増大に対応できる様にライン2系列の設置が可能な設計です。

 すでに発表しているタイ・ラヨン県の合弁会社「
エラストミックス・タイランド」(社長:片山誠三)でのライン増設と合わせて、アジアでのCMB生産能力は大幅に増加します。エラストミックスでは、顧客の海外シフトに対応し、アジアの生産拠点を強化し、グローバルなCMB供給体制の強化を図っていきます。
