中国企業の海外買収

(1)中海油田服務株式公司

 金融危機は世界を席巻し、世界の企業が冷風に凍えている。だがこの寒々しい光景のなかで、中国企業の一部には海外買収のチャンスが訪れた。「国際金融報」が伝えた。

  中海油田服務株式公司(COSL)は4日、ノルウェーのアウィルコ・オフショアASAの株式買収を全て完了したと発表した。COSLは今年7月7日、オフ ショア油田採掘のアウィルコ社と1株85クローネでの買収案に合意した。買収総額は127億クローネ(25億ドル)に達した。中国企業の海外買収の代表的 な成功例となった。

China Oilfield completes Awilco Offshore acquisition; Awilco delists

Offshore drilling company China Oilfield Services Ltd (COSL) said it has completed its acquisition of Norwegian oil services firm Awilco Offshore ASA.

According to a statement published on the Shanghai Stock Exchange, China Oilfield said that the Oslo Stock Exchange approved Awilco Offshore's plan to delist.

COSL announced the takeover in July for 19.5 bln hkd, equivalent to 130.4 hkd per share, creating the world's eighth largest rig fleet.

  オーストラリアの鉄鉱石生産会社「マウント・ギブソン・アイアン」は3日、中国首鋼グループ傘下の2社が1億6250万豪ドルを出資し、1株0.6豪ドル でギブソン社の株式を購入する予定であることを明らかにした。中国首鋼が今年初めに提示した1株2.60豪ドルのわずか23%の価格での買収となった。

  首鋼グループは今年年初、鉄鉱石の供給を保障するねらいで、ギブソン社の株式を高い値段で買い上げ、同社への持株権を獲得しようとした。だがオーストラリ アの監督部門の阻止を受けて失敗した。ギブソン社の株式を保有する首鋼グループ傘下の2社が関連会社とされ、公開買付が求められたためだ。だが金融危機の 爆発で、ギブソン社の資金の流れには大きな問題が起こり、株価は下落を続け、最後は首鋼グループの支援を受けることになった。ギブソン社の価値は年初から 80%近い値下がりとなった。

China Shougang to Buy More Shares in Australia Mount Gibson

Chinese steelmaker Shougang Group Corp. recently plans to lift its ownership in Australian iron ore producer Mount Gibson Iron Ltd. after its previous attempt in early 2008 failed to bear fruits.

The deal will be made actually by APAC Resources Ltd. and Shougang Concord International Enterprises Co., Ltd. under the wing of Shougang Group.

Once clinched, the deal will likely enable Shougang Group, one of the country's biggest steelmakers, to capture a controlling share in Mount Gibson and enjoy more iron ore supply in the future.

The two affiliates of the Chinese steelmaker agree to underwrite renounceable rights, which allow shareholders to buy one Mount Gibson share for five that they hold at AUD 0.6 apiece, or AUD 96.5 million in total. Additionally, Shougang Concord will buy 110 million ordinary shares in Mount Gibson for AUD 66 million.

The two buyers will, after all the transactions are over, control a combined 28.56-40.46 percent stake in the Australian iron ore producer, which is subject to participants of other Mount Gibson shareholders in the right issue.

Moreover, they are to each purchase 50 percent of Mount Gibson's available iron ore output before the end of 2008 at an FOB (free on board) prices of USD 40 per wet metric ton. And they will buy more products from the Australian supplier in the future.

Shougang Holding (Hong Kong) Limited, in which Shougang Group owns a 100 percent stake, holds 41.14 percent of Shougang Concord and 18.95 percent of APAC, which now take a more than 20 percent stake in Mount Gibson.

This March, Shougang Group hit barrier reef when it attempted to buy buy 19.73 percent of Mount Gibson, and was asked to suspend the deal. It was Mount Gibson itself that asked Takeovers Panel of Australia to block the deal between Shougang Concord and Gazmetall Holdings.

The Australian iron ore supplier found that the Chinese steelmaker had indirectly held 20.22 and 16.09 percent Mount Gibson shares via its two affiliates.

An investor, once it controls more than 20 percent of a listed Australian company, must trigger tender offer or apply for exemption in accordance with Australia's corporate law.

The Takeovers Panel announced that Shougang Concord and Gazmetall Holdings of Russia, the seller of the to-be-traded Mount Gibson stake, should hang up their transactions at once because the deal was suspected of breaking the corporate law of Australia, earlier reports said.

豪州産鉄鉱石 大幅値引き 中国需要の減退響く

  資源中堅 最大8割引きで売買契約

 オーストラリア資源中堅のマウント・ギブソン
Mount Gibson Ironは、中国鉄鋼大手の首鋼集団と1トン当たり40米ドルで鉄鉱石の売買契約を結んだ。今年6月に日本や中国の鉄鋼業界と豪資源業界が合意した豪州産鉄鉱石の価格に比べ最大で8割の大幅値引きとなった。長期契約先の中国企業が引き取りを拒んだため安値での売却を強いられた。背景には中国需要の減退があり、今月下旬にも始まる来年度の価格交渉に影響を与えそうだ。
 マウント・ギブソンは中国の民営鉄鋼大手、日照鋼鉄などと長期契約を結んでいる。このうち数社から10月初め、10−12月期の出荷見合わせを要請され、今月に入って3社から契約破棄を通告されたという。
 このため生産量を当初予定の年間720万トンから500万トンに引き下げる一方、首鋼集団と在庫を格安で売却する契約を結んだ。生産減に伴い人員削減に着手するとともに、今後の資金繰り悪化に備え首鋼に出資も要請した。
 マウント・ギブソンは今年6月、英豪資源大手リオ・ティントと中国鉄鋼最大手の上海宝鋼集団との妥結額に基づき、
長期契約先との今年度の鉄鉱石価格を塊状鉱石が1トン当たり201.69ドル、粉状鉱石は144.66ドルとした。今回の首鋼との合意額は塊状、粉状とも同額で値引き率は最大80.2%に達する。 誤り
 中国では経済減速に伴い鉄鋼需要が頭打ちとなり、鉄鋼大手が相次ぎ減産を打ち出している。鉄鉱石需要も落ち込んでおり、上海などの港湾の在庫量は例年の2倍近くに膨らんでいる。スポット価格が下落するなど鉄鉱石の過剰感が高まっている。
 豪州産鉄鉱石の価格はここ数年、中国需要の増加を理由にリオ・ティントやBHPビリトンなど資源大手が大幅値上げを押し切ってきた。しかしここにきて、ブラジル資源大手ヴァーレが値上げを断念するなど、需給関係の変化が価格に影響を与えつつある。今回の大幅値下げを機に、日中の鉄鋼業界が豪資源大手に対し、価格の引き下げを求めて攻勢に出る可能性もある。

(3)鞍鋼グループ

  オーストラリアのジンダルビー・メタルズは4日、鞍鋼グループが16千万元を投資してジンダルビー社の株式保有数を拡大する意向であることを明らかにし た。鞍鋼香港公司は昨年、ジンダルビー社の12.94%の株式を購入し、同社の2番目の株主となっていた。ジンダルビー社は今後、鞍鋼集団香港公司に向け て6500万株を増発し、10.6豪ドルの3900万豪ドル(約2.51億元)で販売する予定だ。ジンダルビー社の株価は現在0.4豪ドル前後となって いる。ただジンダルビー社は、鞍鋼の保有株式拡大計画の実行には、同社理事会での討論を通過し、豪外国投資審査委員会と中国監督管理機構の認可を得なけれ ばならないとしている。

AnSteel seeks to increase stake in Gindalbie Metals
  CHINESE steel giant AnSteel is looking to boost its stake in Gindalbie Metals to help the iron ore miner fund its flagship project.

The Perth-based miner was placed in a trading halt yesterday while it considered an alternative funding proposal for its final equity contribution to the 1.4 billion-tonne Karara iron ore project from AnSteel, its joint-venture partner.

AnSteel, China's second-biggest steelmaker, has already contributed $228.38 million to the project and Gindalbie had paid $18.38 million from existing cash reserves. The final contributions from both, to be $143.68 million each, was due last month.

Gindalbie, headed by chief executive Garret Dixon, said yesterday it had previously exercised its right, under the terms of the Karara joint venture development agreement, to ask AnSteel to arrange debt finance for Gindalbie's final payment. AnSteel, which already has a 12.6 per cent stake in Gindalbie, instead offered to provide the miner with $162.06 million in return for the issuing of new shares at a substantial premium to the current share price.

CCZ Equities Research analyst John Chong said the alternative was a positive for Gindalbie and illustrated that the Chinese group had confidence in the project and the company.

"China is looking through the cycle and will take advantage of the turmoil by increasing stakes where they can," he said. With Chinese companies previously pushing to gain a foothold in Australian miners, Mr Chong said offers would now be "falling in their laps".

Gindalbie said it was now considering the offer and expected to make a further announcement in the next couple of days. The company said it was discussing with China Development Bank the provision of $1.4 billion project financing to the joint-venture company, Karara Mining.

Chairman George Jones said: "These equity funding discussions confirm AnSteel's commitment to the project and highlight the strength of the long-term relationship Gindalbie has with its joint-venture partner. In the current market this is a very positive alternative as it would leave Gindalbie itself debt-free."

  中国南車グループ傘下の株洲南車時代電気株式公司はこのほど、カナダのトロント・ベンチャー取引所に上場する「ダイネックス・パワー」の買収手続きを全て 完了したことを明らかにした。中国の軌道交通設備メーカーによる初の海外買収となる。取り決めによると、時代電気は1672万カナダドルでダイネックス社 の75%の株式を買収した。業界関係者によると、ダイネックス社の株式買収が完了したことで、時代電気は高効率半導体部品の分野での実力を大きく強化し た。高効率半導体部品の世界市場での競争構造には今後、変化が現れるとみられる。

China-based Zhuzhou CSR Times Electric Co. Ltd, a train-borne electrical system provider and integrator for railway industry in the country, announced it has completed the deal of acquiring 75% of the outstanding shares in Dynex Power Inc, a UK-based power semiconductor provider on Oct. 31.

Zhuzhou CSR Times Electric Company Limited is the state-owned enterprise parented by China South Locomotive and Rolling Stock Industry Group Corporation, which engages in research and development, design, manufacture and sales of mass transit electric drive converter and control systems in China. It is headquartered in Zhuzhou, Hunan.

  「もしも資金に余裕があるならば、M&Aに手を出してもいいだろう。これは必要条件であり、最も重要な条件でもある」。南京大学商学院の宋頌興・教授はこ う語る。現在海外に買収の手を伸ばしているのは大型の国有企業ばかりだ。過去に大きな収益を上げたこれらの企業は、金融危機による買収コストの低下などに より、資金面での問題をすでにクリアしている。問題は、金融危機がどのくらい続くのかわからないことだ。

 「金融危機はまもなく底を打つ可能性もあるが、今後も持続する可能性もある」と宋教授は指摘する。このような不確定性は企業に損失を与えるリスクになる。だが金融危機の持続によって、より少ない資金で一定の資源を手に入れるチャンスを中国企業は迎える可能性もある。

  金融危機の不確定性のほか、低価格という魅力も企業の買収意欲を刺激している。だが企業は、短期的な利益だけに目をつけてはならず、企業の長期的戦略に買 収が一致しているかどうかを忘れてはならない。宋教授は、「M&Aは短期的な利益をもたらすかもしれない。だが長期的な利益については、時間をかけて確か めていかなければいけない」と呼びかけている。

 さらに、買収した企業を編成する能力があるかということも、中国企業の直面する問題のひ とつだ。宋教授は、「企業自らに対する正確な評価が必要だ。買収がもたらすプレッシャーに対応するだけのハードウェアがあるかどうかを確かめておかなけれ ばならない」と指摘している。
