旭硝子子会社などカルテル疑惑 欧州委が法的手続き 板ガラス

 欧州連合(EU)の欧州委員会は14日、建設用板ガラスで価格カルテルを結んだ疑いで、旭硝子、日本板硝子それぞれの欧州子会社などに対する法的手続きに入った。欧州委は各社に公式文書を送り、2カ月以内に明確な説明が得られない場合はEU競争法(独占禁止法)違反で制裁金を科す方針だ。
 価格カルテルの疑いが持たれているのは旭硝子のベルギー子会社グラバーベル、日本板硝子の英子会社ビルキントン、仏サンゴバン。旭硝子と日本板硝子は同日、欧州委から文書を受け取ったと発表。旭硝子は事実関係と相違があれば欧州委に申し入れるとしている。
 欧州委と加盟国の独禁当局は2005年2−3月に英独仏などでガラス大手に立ち入り調査。価格カルテルと判定されれば、各社は最大で年間の世界売上高の10%分に相当する制裁全を科せられる可能性がある。

EU委員会からのカルテルに関する異議告知書の受領について

 当社子会社であるグラバーベル社(本社:ベルギー、ブラッセル)は、2007年3月13日(現地)に、EU委員会より、欧州における板ガラスのカルテルに関するStatement of Objection(異議告知書※)を受領しました。
 同社は、2005年2月22日、23日(現地)にEU委員会の立ち入り調査を受け、その後の調査の過程で、EU委員会が異議告知書を発行したものです。
 当社及びグラバーベル社は、本異議告知書の内容を確認した上で、適切な対応をとる所存です。

 「異議告知書」とは、EU独禁法違反の疑いに関する当局の暫定的な見解(未確定)を示し、当事者の意見を求めるものです。「異議告知書」は調査途中の文書であり、EU当局の最終決定ではありません。当局による最終決定については、欧州裁判所へ上訴することが可能です。

 当社子会社であるピルキントン社において、2007年3月13日(現地時間)、欧州委員会より異議告知書を受領しました。当該告知書は、ピルキントン社を含む複数の欧州建築用ガラス製造メーカーによる独禁法違反の疑いに関するものであります。
 ピルキントン社では、当該告知書の詳細について精査中であります。
 手続きに更に進展があり、委員会による正式決定まで、本件についてさらなるコメントは差し控えます。

Competition: European Commission confirms sending a Statement of Objections to alleged participants in a cartel for flat glass

The European Commission can confirm that it has just sent a Statement of Objections to a number of undertakings regarding their alleged role in a cartel for flat glass.

The Statement of Objections alleges that the undertakings concerned fixed the prices of flat glass products, thereby restricting competition in the EEA market in violation of EC Treaty rules outlawing restrictive business practices (Article 81).

Flat glass is used principally for the manufacturing of glass products used by the building sector. The basic product is float glass, which can be produced in different colours and thicknesses. It can be processed in order to obtain glass products with additional properties e.g. to control energy usage or provide additional safety and security.

The preliminary conclusions outlined in the Statement of Objections are based on the results of inspections carried out on 22 and 23 February 2005 (see MEMO/05/63) and on 15 March 2005, on the Commissions subsequent investigation and on information supplied under the Commissions Leniency Notice (see IP/02/247 and MEMO/02/23 for information on the leniency notice then in force).

Procedural background

Statements of Objections are a formal step in European antitrust investigations. After receiving such statements, companies have two months to defend themselves in writing. They can also ask the Commission to hear their case at an oral hearing which usually takes place about one month after the written reply has been received. Only after having heard the company's defence can the Commission take a final decision, which may be accompanied by fines of up to ten per cent of a companys worldwide annual turnover.

Anti-trust: Commission investigation in the flat and car glass sector

The European Commission confirms that on 22nd and 23rd February 2005 Commission officials carried out unannounced inspections at the premises of several European manufacturers of flat and car glass in Belgium, France, Germany, the United Kingdom, Sweden (only relating to flat glass ) and Italy (only relating to car glass). The Commission has reason to believe that the manufacturers concerned may have (amongst other things) coordinated price-increases and agreed on the introduction of a so called energy surchargein the area of flat glass. As regards car glass, the Commission has information indicating that car glass producers may have allocated customers and agreed on supply quotas and prices.

Flat glass is used principally for the manufacturing of glass products used by the building sector and in a processed form by the automotive industry. Car glass is used by the motor vehicle manufacturers for the production of new cars.

The Commission officials were accompanied by their counterparts from the relevant national competition authorities. In two Member States, the national competition authorities carried out the inspections on behalf of the Commission.

Background

Surprise inspections are a preliminary step in investigations into suspected cartels, foreseen under Article 20 of the Council Regulation (1/2003) that lays down the procedures to be followed for the implementation of the EC Treatys rules on restrictive business practices and abuse of monopoly power (Articles 81 and 82). The fact that the European Commission carries out such inspections does not mean that the companies are guilty of anti-competitive behaviour nor does it prejudge the outcome of the investigation itself. The European Commission respects the rights of defence, in particular the right of companies to be heard in antitrust proceedings.

There is no strict deadline to complete cartel inquiries. Their duration depends on a number of factors, including the complexity of each case, the extent to which the undertakings concerned co-operate and the exercise of the rights of defence.

Article 81 of the EC Treaty prohibits agreements between undertakings, decisions by associations of undertakings and concerted practices which may affect trade between Member States and which have their object or effect the prevention, restriction or distortion of competition within the EUs Single Market and in particular those which directly or indirectly fix prices; limit or control production, markets, technical development or investment; share markets or sources of supply; apply dissimilar conditions to equivalent transactions with other trading parties, thereby placing them at a competitive disadvantage; or make the conclusion of contracts subject to acceptance by the other parties of supplementary obligations which, by their nature or according to commercial usage, have no connection with the subject of such contracts.

Glass makers charged with running cartel

EU regulators said Wednesday they had sent formal charge sheets to several companies that it claimed ran a cartel to fix the price of flat glass, which is mostly used by the construction sector.

They said a related cartel probe into glass sold to carmakers is still under way.

Officials did not name the companies they have charged, but Belgian-based Glaverbel SA -- owned by Japan's Asahi Glass -- said it had received charges and would respond to them.

The European Commission said the charges followed raids two years ago when French glass manufacturer Saint-Gobain and Britain's Pilkington PLC both issued statements saying they had been visited by antitrust officials.

Those raids targeted companies in Belgium, Germany, France, Britain, Sweden and Italy -- including some businesses that also make car glass.

EU spokesman Jonathan Todd told reporters that an investigation into a car glass cartel that raided companies in February 2005 was still "ongoing." He refused to name any of the companies involved, beyond confirming that an Italian car glass maker had been among those visited in 2005.

The Commission said the charges now allege that the businesses fixed the prices of flat glass products, restricting competition in the European markets and violating EU rules that outlaw restrictive business practices.

It said it had also received information from a leniency program that reduces or exempts whistleblowers from antitrust fines.

Companies who have received the EU's "statement of objections" now have two months to defend themselves in writing and can also plead their case at an oral hearing a month after the EU gets the written reply.

Only then can regulators take a formal decision, which can see it fine a company up to 10 percent of its worldwide annual turnover.

In recent years the EU's executive arm has levied massive fines to deter cartels. Last month, it handed down its largest-ever collective cartel fine -- euro992 million (US$1.3 billion) -- on five elevator makers for rigging bids and carving up the market between them.

EU、カルテル摘発強化
 制裁金 4ヶ月で年間最高 規制、国際標準狙う ビール3社に440億円

 欧州連合(EU)が企業の価格カルテルヘの制裁を強めている。今年に入ってからのカルテル制裁金は18日で20億1600万ユーロ(約3200億円)を超え、4カ月で年間の最高額を更新。今年中に10件前後の摘発を進める方針だ。EUの独占禁止法は欧州市場で販売実績がない企業も制裁対象にするのが特徴。日本企業は制裁措置を不服として提訴に動き始め、国際的な摩擦が激しくなってきた。
 EUの欧州委員会は18日、価格カルテルを結んだとしてハイネケン(オランダ)などのビール3社に合計で約2億7400万ユーロ(約440億円)の制裁金を命令した。欧州委のクルス委員(競争政策担当)は記者会見で、「EUは絶対にカルテルを許さない」と企業に警告した。
 EUは巨額の制裁金で抑止力を強める考え。昨年は年間の制裁金額が約18億4600万ユーロとそれまでの3−5倍に膨らんで最高となったが、今年はすでに昨年1年分を上回った。クルス委員は欧州議会で「今年末までに9−10件の摘発を進める」と表明しており、摘発件数も過去最高を上回るぺースだ。
 EUのカルテル制裁では欧州企業と並んで日米企業も対象.。送電設備やエレベーターのカルテルで三菱電機や日立製作所などが制裁を受けた。さらに欧州委は建築用板ガラスや業務用ビデオテープなどでも価格カルテルの疑いがあると域内外の企業に通告。.旭硝子や日本板硝子、ソニーなどの日本企業が独禁法違反を問われている。
 EUがカルテル制裁を強めているのは新化学物質規制などと同じようぶEU独自の独禁法ルールを国際標準に定着させる狙いがある。
 2004年からの中・東欧への拡大でEU市場は5億人近い規模に膨らんでおり、日米やアジア企業にも同じルールを追ることでグローバル化する世界市場の主導権を握る考えだ。域内でも拡大EUの市場統合や公正な競争ルールの確立を急いでいる。

日本企業、制裁に反発 東芝と日立、撤回へ提訴
 送電設備で国際カルテルを結んでいたとして、欧州委員会から巨額の制裁金支払いを命じられていた東芝と日立製作所は18日、制裁を不服として欧州司法裁判所(第一審裁)に提訴した。両社は「法律に違反する行為は一切していない」と主張。三菱電機も19日にも提訴する予定で、日本企業の欧州委への対決姿勢が明確になった。
 独シーメンスなどが日本で販売をしない見返りに、日本企業が欧州での事業を手控えたと欧州委が指摘した点について、日立は「シーメンスなどと談合した事実はない」と反論。東芝も「欧州でビジネスをしていないのに制裁を受げるとは」と反発する。.三菱電機の佐藤行弘副社長も「我々の事実認識とは異なる」と徹底抗戦の構えだ。
 欧州の送電設備市場は地元勢が強く、機器の仕様も独特。製品投入には新た場開発投資が必要になる。欧州市場参入を見送った経緯について日本の電機メーカー首脳は「参入しても採算を取るのは難しい」との判断があったと説明する。
 建築用板ガラスを巡るカルテル疑惑では、旭硝子と日本板硝子両社は、「欧州委に異議を申し立てるかどうかを含めて検討中」としている。
 日本の公正取引委員会は「EUルールがすぐに国際基準になるとは考えにくい」とみて、EUの動きを静観する構えだ。

EUのカルテル制裁 欧州市場での販売実績なくても制裁

 EU独禁法の最大の特徴は欧州市場で販売実績がない企業もカルテルを問える点にある。例えぱ、日欧企業がそれぞれの市場ですみ分けで合意したような場合、欧州委は市場参入を故意に手控えたとみて価格カルテルを判定する。実際に送電設備カルテルでは欧州でほとんど納入実績がない三菱電機や日立、東芝が合計で2億6600万ユーロの制裁金支払いを追られた。「日欧企業による市場分割がEU市場での価格競争をゆがめた」(欧州委の報道官)というEU独自のルールを厳格に適用した結果だ。
 制裁金の上限は対象企業の年間の世界総売上高の10%。最近は企業の内部告発で摘発する例が多い。18日発表きれたビールカルテルでは情報提供に応じたベルギーのインベブ社への制裁金が全額免除された。欧州委は「アメとムチ」で内部情報を引き出す方針だ。

E∪、独禁法の適用強化 国際標準化も視野に

 欧州連合(EU)が企業の独占禁止法違反への制裁を強めている。価格カルテルの摘発は今年、過去最高のぺースで進んでおり、7月下旬には半導体で世界最大手のインテルに独禁法違反を通告した。EUルールで日本企業が巨額の制裁金支払いを迫られるケースも増えている。

 「自由化を損なうような独占的な価格設定は認めない」。欧州委員会は7月4日、スペイン通信大手テレフオニカに、独占的な地位を乱用して新規参入を阻んだとして1億5200万ユーロ(約246億円)もの巨額制裁金支払いを命じた。
 欧州委は27日にはCPU(中央演算処理装置)販売をめぐってインテルヘの法的な手続きを開始。価格カルテルでは今年に入って送電設備などの摘発が続き、計18社に総額20億1700万ユーロの制裁金を科した。今年、金額べースではすでに過去最高を更新しているが、摘発件数でも最高となる可能性がある。
 EUの独禁法ルールは行政処分である制裁金の重さが特徴。日本のカルテル課徴金は違反があった部門の売上高を基準に決められるが、EUの制裁金は違反企業の世界総売上高の10%が上限になる。米マイクロソフトは2004年に約4億9700万ユーロの制裁金を科された。上限の範囲内なら再犯企業への制裁金を最大で基準額の2倍まで増やせる規定もある。
 EUの独禁当局である欧州委が監視する企業数は加盟27カ国で1800万社を超える。巨大な経済圏で独禁法を効果的に運営するうえで、巨額の制裁金を「抑止力」と位置付けている。
 「我々の事実認識とは異なる」。送電設備を巡るカルテル摘発では三菱電機や東芝、日立製作所などの日本企業が強く反発した。欧州でほとんど販売実績がないにもかかわらず、合計で約2億6600万ユーロの制裁金を命じられたためだ。
 日本の考え方では違反対象の分野で販売実績がなければカルテルも成り立たない。これに対してEUは「日欧企業の市場すみ分けがEU市場の競争をゆがめた」(欧州委)と判定。故意に参入を手控えたとみて、日本企業にもEUルールの順守を迫った。
 04年以降の加盟拡大でEUは5億人近い消費者を抱えた。その規模を背景に独自の独禁法ルールを国際標準に育て、グローバル化が進む世界市場での主導権を握る狙いが垣間見えてくる。

 今秋以降、EUの独禁法違反の制裁に日本企業が巻き込まれるケースがさらに増えそうだ。欧州委は建築用板ガラスでのカルテルの疑いを旭硝子や日本板硝子の欧州子会社に通告。業務用のビデオテープではソニーや日立マクセルヘの調査を進めている。
 世界市場に幅広く製品を供給する日本企業にとって、EUの独禁法は一段と重要になりそうだ。最近のEUは企業の告発によるカルテル摘発も進めており、日本企業はブリュッセルでの情報収集を強化する必要に迫られている。
